My practice in corporate law covers all legal issues related to the formation, structuring, and management of companies. This includes, in particular, the drafting and amendment of articles of association, the implementation of capital measures, and the legal support of transformations, mergers, and demergers. Another key focus lies in advising on directors’ liability and corporate governance, which are of increasing importance in today’s complex national and European legal framework.

Special attention is given to the strategic and legally sound structuring of shareholdings, shareholder agreements, and succession arrangements. The goal is not only to minimize legal risks but also to balance the interests of all parties involved. My advice is aimed at developing sustainable, long-term solutions that take into account both the specific circumstances and the entrepreneurial objectives at stake.

Through my work at the interface between Germany and Italy, I have gained particular experience in handling cross-border matters. These include selecting the appropriate legal form in an international context, aligning articles of association and shareholder agreements across jurisdictions, and providing legal guidance in cross-border restructurings and investments. For more complex or large-scale mandates, I work in close cooperation with my colleagues at Bordiga Xerri in Milan, ensuring interdisciplinary and cross-border advice at the highest level.
